Legal Terms of Service
Effective: May 2025
Please read these terms carefully before using this service. By submitting your 83(b) election order, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Nature of Service
The purpose of this service is to assist you in preparing and filing your 83(b) election under Section 83(b) of the Internal Revenue Code. Depending on your selection at intake, we will either: (a) prepare your completed IRS Form 15620 and provide it to you for submission through your own account on IRS.gov; or (b) prepare your completed IRS Form 15620 and file it with the IRS on your behalf by USPS Certified Mail with return receipt.
IMPORTANT: Use of this service does not create an attorney-client relationship with Kaminitz Legal or any attorney affiliated with this service unless you have executed a separate written engagement letter. No part of this service, including any correspondence you receive from us in connection with this service, constitutes legal advice or tax advice. Any correspondence is provided as a professional courtesy in connection with document preparation only.
2. Your Responsibilities
By submitting an order, you represent, warrant, and agree to each of the following:
- You are solely responsible for determining whether you are eligible to make an 83(b) election under applicable law.
- You are solely responsible for determining whether making an 83(b) election is appropriate for your individual tax situation. We strongly recommend consulting with a qualified tax advisor or attorney before proceeding.
- You are solely responsible for the accuracy, completeness, and correctness of all information you provide to us, including your grant date, fair market value, share count, and all other intake form fields.
- You are solely responsible for the accuracy of your signed Stock Purchase Agreement and any other documents you upload.
- You represent that you are the individual named as the taxpayer in the 83(b) election — or, if the named taxpayer is an entity, that you are duly authorized to act on behalf of that entity — and that you are the person authorized to sign the election.
- You will not use this service to submit a filing on behalf of another individual without proper legal authority.
3. Filing Methods
Option A — E-File (Client Handles): If you select the e-file option, we will prepare your completed IRS Form 15620 and deliver it to you by email. You are solely responsible for logging into your own account on IRS.gov and submitting the form. E-filing requires your personal IRS credentials and can only be performed by you. We are not responsible for any delays, errors, or failures in your submission to the IRS after we deliver the prepared form to you.
Option B — USPS Certified Mail (We Handle): If you select the mail option, we will print, prepare, and send your signed Form 15620 to the appropriate IRS Service Center via USPS Certified Mail with return receipt requested. We will provide you with a tracking number and proof of mailing. We will use the address included in your 83(b) election form to determine the correct IRS Service Center, except where you have submitted a signed cover letter specifying a different IRS Service Center address, in which case we will use the address on that cover letter.
Regardless of filing method, we may insert additional notations on your submission or related documents as necessary to facilitate our service (such as writing the USPS tracking number on the cover letter if that field has been left blank).
4. Deadline Requirements — CRITICAL
The IRS requires that an 83(b) election be filed within 30 days of the date of transfer of the property (your grant date). This deadline is strictly enforced and cannot be extended.
- We will only accept orders received at least 3 business days before your 30-day filing deadline. If your deadline is sooner than 3 business days from the time of your submission, we cannot process your request.
- We may also decline your order for other reasons, including but not limited to insufficient or inconsistent information, documents that cannot be verified, or requests that fall outside the scope of this service.
- If we cannot process your order for any reason, we will notify you by email within 2 business days of receiving your submission and issue a full refund.
- Once you submit your order, you cannot make changes to your submission. Your order may be automatically queued for processing upon payment.
- If you are including a spouse in your 83(b) election, both you and your spouse must complete all required signatures within 24 hours of order submission (or the filing deadline, whichever is earlier). If signatures are not received within this period, your order will be cancelled and your payment refunded.
5. Scope of Paid Service
Our paid service consists exclusively of the following:
- Reviewing the information and documents you provide for completeness and internal consistency;
- Preparing IRS Form 15620 (Section 83(b) Election) based on the information you provide;
- Delivering the completed form to you for e-filing on IRS.gov (Option A), or mailing the completed form to the IRS via USPS Certified Mail with return receipt (Option B);
- Providing you with proof of mailing, a USPS tracking number, and proof of delivery where available (Option B only);
- Notifying you by email of the status of your submission.
Our service does not include legal advice, tax advice, evaluation of whether the election is advisable in your circumstances, representation before the IRS, or any service not expressly described above.
6. Fee, Payment, and Refund Policy
- The fee for the filing service is $299 per election, payable at the time of submission via Stripe.
- An optional 30-minute attorney consultation is available for $99, which is credited in full toward the filing fee if you proceed with a filing.
- All payments are non-refundable except as expressly provided in these Terms. A full refund will be issued if: (a) we decline to process your order and notify you within 2 business days; or (b) we determine, in our sole discretion, that we cannot assist you for reasons unrelated to your conduct.
- No refund will be issued if we determine, in our sole discretion, that you did not use this service in good faith, submitted materially false or misleading information, or violated these Terms.
7. Document Handling and Retention
- We will email you copies of all documents prepared in connection with your order as they become available.
- You are solely responsible for retaining copies of all documents related to your 83(b) election, including the completed Form 15620, proof of mailing, and any IRS acknowledgment or date-stamped copy.
- Any physical documents in our possession may be shredded, and any digital documents, scanned copies, and order information may be deleted, after 30 days of completion of your order. We are not responsible for providing copies after this period.
- If you were referred to this service by your employer, attorney, accountant, or another authorized third party, you authorize us to share information about your submission with that referring party.
8. Third-Party Services
This service uses third-party vendors including Stripe (payment processing) and USPS (mail delivery). Your use of those services is subject to their respective terms of service and privacy policies. We are not responsible for failures, delays, or errors attributable to third-party service providers.
9. Disclaimer of Warranties
This service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any particular result will be achieved.
We are not responsible for matters beyond our reasonable control, including but not limited to USPS delays or lost mail, IRS processing times or errors, outages of IRS.gov or third-party platforms, or changes in applicable law or IRS requirements.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Kaminitz Legal's total liability to you arising out of or in connection with this service shall not exceed the amount you paid for the service giving rise to the claim. In no event shall Kaminitz Legal be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, tax penalties, or IRS assessments arising out of your 83(b) election or the failure thereof.
11. Right to Reject Orders
We reserve the right, in our sole and absolute discretion, to reject any order for any reason. If we reject your order, we will notify you within 2 business days and issue a full refund, unless we determine that you did not use this service in good faith.
12. Acceptable Use
You agree to use this service exclusively for its intended purpose — preparing and filing your own 83(b) election — and in good faith. You agree not to submit false, fraudulent, or misleading information. You agree not to use this service to file elections on behalf of others without legal authority.
13. No Attorney-Client Relationship
Use of 83bVerify does not create an attorney-client relationship between you and Kaminitz Legal or any of its attorneys. An attorney-client relationship is only formed upon execution of a written engagement letter signed by both parties. Until such an engagement is established, no information you provide through this service is protected by attorney-client privilege.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
15. Modifications to These Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted at filing83b.com with a revised effective date. Continued use of the service after such posting constitutes your acceptance of the updated Terms.

These Terms constitute the entire agreement between you and Kaminitz Legal with respect to the 83bVerify service and supersede all prior agreements or understandings relating to the subject matter herein. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
